PREAMBLE
At LegalProd, we believe that it is important to build a good relationship with our customers and we wish to be as transparent as possible. With this in mind, we have sought to draw up clear and readable general terms and conditions. Should you have any questions concerning our terms, we will be pleased to answer them.
GENERAL PROVISIONS
These terms and conditions of sale (hereinafter referred to as the T&Cs) apply in France to all proposals, offers, legal relationships and all contracts with LegalProd, a simplified joint-stock company (société par actions simplifiée), 34 AV CHAMPS ÉLYSÉES 75008 Paris, RCS Paris 900 029 422, under which works and/or services are supplied by LegalProd.
They may be varied only by express written Special Terms and Conditions signed by a person duly authorised by LegalProd for that purpose. They form an integral part of the Contract entered into between LegalProd and the Customer and prevail over any other contractual and commercial provisions whatsoever, including those appearing on the Customer's commercial documents, the Customer's acceptance hereof entailing a waiver of any right to rely on its own general terms and conditions, should it have any.
In any event, LegalProd's temporary forbearance in relying on any of the clauses of these T&Cs may not be construed by the Customer as a waiver by LegalProd of its right subsequently to rely on any of the said conditions. Save where expressly stipulated otherwise, in the case of successive contracts, the most recent contractual provision cancels the previous one where those two provisions are contradictory.
All proposals and other statements made by LegalProd are without commitment, unless otherwise indicated by LegalProd in writing. The Customer is answerable for the accuracy and completeness of the requirements, the specifications of the works and the other data transmitted by it or on its behalf to LegalProd and on which LegalProd has based its proposal.
These general terms and conditions are updated on a regular basis and are available on the LegalProd website.

CONTRACTUAL DOCUMENTS
These General Terms and Conditions are supplemented by Special Terms and Conditions which describe, for each type of Contract, the details of the Services supplied to the Customer (this may in particular take the form of a purchase order and/or a quotation), and, where applicable, by additional provisions applicable depending on the Service. The contractual documents are, in decreasing order of priority, as follows:
- The Special Terms and Conditions (signed Purchase order or Quotation);
- The general terms and conditions of sale. § Appendix - Processing of Personal data.
These contractual documents constitute the entirety of the Parties' commitments (hereinafter “the Contract”) and cancel and replace any other prior written or oral agreement.
The Customer may decide at any time, subject to LegalProd's agreement, to order new Works and/or to supplement the Service by signing new Special Terms and Conditions.
TERM
The Contract enters into force as from the date of signature of the Special Terms and Conditions.
It is entered into for the Term defined in the Special Terms and Conditions.
At the end of that period, the Contract will be automatically renewed for an identical period, unless notice of termination is given by registered letter by either Party no later than three (3) months before the expiry date.
